Pennsylvania Annual Reports Due in 2025
Beginning in 2025, domestic and foreign business filing associations registered in Pennsylvania will be required to submit annual reports, in compliance with Act 122 of 2022, signed into law on November 3, 2022 by Governor Wolf. This annual report requirement replaces the prior decennial report requirement for these associations. Failure to file the annual report will result in the administrative dissolution, termination, or cancellation of the business registration.
The following types of entities will be required to file annual reports:
- Business Corporations
- Nonprofit Corporations
- Limited Liability Companies
- Limited Partnerships
- Limited Liability Partnerships
- Professional Associations
- Business Trusts
- Any other entity created by the filing of a document with the Pennsylvania Department of State.
The deadline for filing the annual report will depend on the type of entity. Corporations must file by June 30th of each year. Limited Liability Companies (LLCs) must file by September 30th of each year. All other entities must file by December 31st of each year.
The fee to file the annual report is $7 for all entities except Nonprofit Corporations, which will not be charged a fee to file.
The following information must be included with the annual report:
- Business name
- Jurisdiction of formation
- Registered office address (address in Pennsylvania identified in the records of the Department of State)
- Principal office address (where the association performs its primary executive functions, whether or not located in Pennsylvania)
- Name of at least one governor (a person who has authority to exercise the powers of an association and manage the activities and affairs thereof, pursuant to the organic law and rules of the association, such as a director, member, partner, etc.)
- Names of Principal Officers, if any (required for all Corporations)
You can update the annual report at any time during the reporting year for no additional fee. You can also provide an e-mail address to opt in to e-mail notifications regarding the annual reports.
