Transactional Issues

Our firm's Environmental and Energy Law Group regularly assists businesses, lenders and other clients with the purchase and sale of industrial and commercial properties.  Our attorneys have the experience to guide clients who are purchasing properties through the requirements for conducting All Appropriate Inquiry/Due Diligence to ensure that a property does not have hidden environmental impairments, to facilitate project financing, and to qualify the buyer for environmental protections as an innocent purchaser.  We also regularly assist clients with taking properties through the Pennsylvania Act 2/Voluntary Cleanup Program.  The brownfields cleanup process can provide liability protection for both buyers and sellers through three party Buyer Seller Agreements with the environmental agency overseeing the cleanup.

Our attorneys frequently assist clients by partnering with environmental consultants and Economic Development Agencies to develop cost effective and environmentally appropriate cleanup strategies for impaired properties.  Our tools and knowledge will enable buyers and sellers to address environmental matters in the most effective and efficient manner such that the environmental issues do not derail an otherwise beneficial transaction.
